In this type of platform, the two parties remain within the technical and commercial environment of the sector until payment has been made.

Dropshipping is a form of online sales that allows an E-commerce Platform Manager to offer products that he does not physically have in stock.

Here's how it works: The Platform Manager (called Marketer) offers some products in its online shop. When a customer orders one of these products, the Supplier / Seller (called Dropshipper) ships them.

Dropshipping is convenient for the Manager and the Seller / supplier, as it allows both parties to focus on the aspects in which they have greater expertise;

The Manager can focus on customer research and site promotion without incurring significant upfront costs.

The Seller / supplier can increase sales thanks to the publication of its products and only take care of providing and preparing the packaging of the goods sold ready for collection by the Operator's affiliated shipper.

Instead, the Buyer has a wide choice of products available 7 days a week, 24 hours a day and can easily compare prices.


The Manager through its MARKETPLACE site collects the order of the end customer and the consideration for the ordered product;

The Manager electronically communicates the order received to its Seller / supplier;

The Seller / supplier prepares, packs and sends the ordered goods to the buyer's address. The sending will take place by indicating the name or logo of the E-commerce company on the package, as if the sending had been made directly by the Manager;

The Manager will pay the Seller / supplier the catalog price of the asset, retaining for himself the portion of the transaction commission from the sale price.


The technical information for the Electronic Catalog within our site must be provided by the Seller / supplier which can be obtained from the information provided by the official websites of the manufacturers. Among the main notes to be published are the dimensions and weight of the packaging as well as the other characteristics of the product.


a) The Seller / supplier grants the Manager the right to use its Products, images, brands and descriptions for the duration of this agreement. It also undertakes to provide the Platform Manager with the technical specifications necessary for integrating the Service into the electronic store;

b) The Supplier will provide the Manager with all the images and information, uploading and managing them directly through its electronic warehouse within the platform by accessing the ID form on:

c) The Seller / supplier may change prices at any time with or without notice, by email to [email protected]m and / or through the group or chat assistance.

d) The Seller / supplier undertakes to guarantee the continuity of the service, except in cases of force majeure (such as, by way of example but not limited to, calamities and other natural events, national strikes, etc.), due to unforeseeable circumstances or failures technicians, it being understood that in each of the aforementioned cases it will in any case be the responsibility of the Seller / supplier to promptly inform the Manager and make every effort to restore the interrupted Dropshipping service as soon as possible. The Manager undertakes to comply with the following obligations, the breach of which this agreement will be terminated and the service terminated:

a) Not to transfer the material provided in CSV files to third parties;

b) All the material is covered by Copyright, the Manager therefore undertakes to modify the images and texts provided for improvements to the cart;

c) The Manager undertakes not to reduce or discount the retail prices below the prices provided by you.

5) PRICES AND DELIVERY DAYS (for shipping orders)

Prices can be changed, exclusively by the Seller / supplier, at any time, except for orders in progress.

The delivery times of the various products vary between 3 and 15 days, depending on whether the requested item is available in stock or requires production. The Seller / supplier undertakes to do everything possible to respect the expected delivery times. Delay can never be considered a reason for canceling an order. In case of lack of the requested item in stock and excessively long production times, the Seller / supplier undertakes to promptly notify the Manager of the fulfillment date, deciding by mutual agreement whether to keep the order active or not.


The Platform Operator communicates to the Seller / supplier, from time to time, the items sold to his Customer, end user, by forwarding this order and paying for the order through the PAYPAL system, withholding the discount reserved for him from the price to the public. in the contract agreement, consequently the Seller / supplier undertakes to send the goods to the address of the customer (end user), indicated by the Manager in the order, no later than 2 (two) working days from the date of authorization for processing and balance of goods;


The Manager guarantees the shipment throughout the Euro zone, up to 30 Kg and with a volume weight of 150 cm., Adding the 3 sides.

The code for tracking the shipment is provided to the Supplier / Seller only upon explicit request.

Withdrawal from the supplier and delivery to the end customer is carried out with an affiliated shipper of the Platform Manager with the possibility of also making customized shipments with the Supplier / seller's partner shipper.


It will be the responsibility of the Supplier to ensure that the Final Customer verifies the integrity of the package and its possible acceptance of the

delivery with reserve. The Supplier will support the Seller in the relationship with the End Customer in cases concerning Withdrawal, Complaints and

Guarantees, provided that the same relationship is governed by the rules contained in Legislative Decree no. 206/2005 (Consumer Code).

Products considered non-compliant, non-functional or defective must be replaced only after examination by the Supplier.

Defects and non-conformities must be proven by sending photos to the Seller's customer service via e-mail or chat and endorsed

to the Supplier. The disputed products must be returned to the Supplier at the latter's expense.


For each order, the Seller / supplier issues to the Manager, an invoice for the product with the discount reserved for him and including VAT. The Platform Manager, at the same time, will issue an invoice to the final Customer, of the price to the public and including shipping


This agreement has a duration of one (1) year from the date of its signing and will be understood as tacitly renewed from year to year, unless a 30-day cancellation is sent by one of the parties. before the deadline via email to [email protected]

The verification and ascertainment of the improper use of data as well as the violation of obligations will be grounds for termination of the service and termination of the agreement without notice, without prejudice to the right of the Manager to ascertain and contest any damage.


This agreement will be considered terminated by law pursuant to Article 1456 of the Italian Civil Code if the Seller / supplier violates even one of the obligations set out in the following agreement.

Pursuant to and for the purposes of art. 1353 of the Civil Code, the Manager may also terminate this agreement without notice and with immediate effect, if the Seller / supplier:

- is subjected to bankruptcy or other insolvency proceedings;

- is subjected to a seizure or other form of constraint on its assets that jeopardizes this agreement;

- is put into liquidation, voluntarily or forcibly.

The Manager reserves the right, at its sole discretion and at any time, to terminate the Service, or part of it, with or without


Upon termination of this agreement, by the Seller / supplier or the Manager, all rights of the Seller / supplier under this agreement, and the supply of purchases by the Manager, will cease with immediate effect. The Manager is also required to delete any data concerning the Vendor / supplier Data, in any form and on any medium it has been stored, also eliminating any backup copies


This agreement does not set up any relationship of subordination, dependence or agency between the Seller / supplier and the Operator of the Platform, furthermore it does not attribute to the Operator any power of representation of the Seller / supplier or of the brands that the Seller / supplier distributes.


The Seller / supplier cannot hold the Platform Manager responsible for any type of loss or damage, direct or indirect, whatever the cause.

The Manager markets the products on the site, does not produce or own them. The Manager is not responsible for any information incorrectly provided by the Seller / supplier and cannot be held responsible for damage caused by improper use of the items.


The Platform Manager assumes no responsibility for the opinions and evaluations expressed by its Customers on the Products / Services / Company of the Seller / supplier.


By accepting this Agreement, the Seller / supplier undertakes to indemnify the Manager from any claim or request for compensation for damages from third parties, which may derive from the promotion or sale of the Products / Services, substantially and procedurally holding the Manager harmless from any loss, damage, liability, cost or expense, including legal fees, arising out of the Transaction


Pursuant to Legislative Decree 30 June 2003, n. 196, the Seller acknowledges that the Personal Data communicated and / or exchanged will be processed pursuant to Legislative Decree no. 196/2003, for the effects and purposes referred to in Article 24, paragraph 1, lett. b) and subsequent amendments and additions. It is understood that the Seller expressly consents to the transfer of Personal Data.


This agreement is governed by law. Although not expressly provided for here, the laws applicable to the relationships and cases provided for in this contract are valid. The parties agree that for any dispute relating to the interpretation or execution of this agreement, the court of Sandanski (Bulgaria) will be exclusively competent.
